Amending the Bylaws

ZRA's Board of Directors has submitting an amendment request for the Association's Bylaws.  The amendment would alter the section on the Strategic Plan (which is Article IX, Section 6).  

Currently, the Bylaws require Strategic Plans to be approved in-person at the annual business meeting.  However, as our membership grows, it is becoming more difficult for the business meeting to attain quorum, which is necessary to allow for any official votes.  The amendment would allow the Board of Directors to decide between voting for the Strategic Plan at the business meeting or electronically. 

ZRA members have 30 days (from Wednesday, September 16th to Friday, October 16th) to discuss the proposed amendment and ask any questions they might have.  Voting will open for Professional Category members on Saturday, October 17th and will close on Friday, October 23rd.  At least 99 Professional Category members (one-third of all Professional Category members) must vote in order to reach quorum.  Out of all the votes, two-thirds (66%) must be in the affirmative to pass the proposal.  If not enough members vote, then the election is void and no decision is made - the Bylaws will not change.  If not enough affirmative votes are cast, then the proposal fails and the Bylaws will not change.

Bylaws Amendment Proposal - voting methods for Strategic Plans

This proposal will allow the Board of Directors to set up electronic voting for the adoption of a new Strategic Plan. Currently, Strategic Plans can only be approved in-person a the annual business meeting. However, the business meeting cannot always achieve quorum in order to have official votes. This amendment would allow a Strategic Plan to be voted on even if the annual business meeting doesn't achieve quorum.
